Abstract

Purpose

The purpose of this study is to examine the impact of the transposition of the EU directive that regulates M&As on cross-border deals. Acquirers of targets located in the European Union (EU) must comply not only with takeover rules set individually by member states but also with European Council Directives. The most significant of these Directives in the context of mergers and acquisitions (M&As) is the Takeover Bids Directive (TBD). The intent of the Directive is to ensure equal treatment for all companies launching takeover bids or that are subject to a change in control, providing minimum harmonization rules in view of creating a transparent environment for cross-border takeovers.

Design/methodology/approach

This study uses the event-study and difference-in-differences approaches.

Findings

Using a sample of 2,129 M&As conducted between 2000 and 2015, this paper finds positive acquisition synergy for acquirers targeting firms from countries with stronger investor protection rules compared to the average of the EU, but no evidence regarding cross-border deals. The results support the prediction that regulation makes countries diverge more depending on their ex ante level of investor protection.

Originality/value

This study examines the impact of the enactment of the TBD on announcement returns of M&As in the EU.

Abstract

The chapter discusses an articulation detected in the Ursula School between the discipline/indiscipline logic (Rodrigues, 2007) and the contemporary cultural tone in which to be is to be perceived, be seen (Türcke, 2010), experienced by Brazilian adolescents. The pursuit of being seen/perceived was persistent in the statements of the students who participated in the research. An ethnographic perspective guided the methodology of the research. The text aims to describe articulations present in the Ursula School, the empirical locus of the investigation. The empirical data of the paper are presented through ethnographic discussions. The ethnography found students eager to be seen/perceived by their peers and/or school professionals. It reinforces the pleasure/power spirals (Foucault, 2012) contained in disciplining, being disciplined, or being undisciplined. At the same time, it highlights a game between seeing and being seen (Bhabha, 2004). Nevertheless, students’ behavior was ambivalent, as some ethnographic data show. The articulations described in the chapter enable us to discuss how adolescents have recently experienced school. As well as this chapter allows sociological considerations about a school that remains a pivotal institution in the lives of adolescents, but is traversed by externals logics, mainly derived from industrialized cultural elements. The Türcke (2010) assertion will be explored through a new question. Be is to be perceived and seen by who, and in which context?

Abstract

Purpose

For the specific topic of multinationals in clusters, both regional strands and international business and management literatures address the topic from different yet intertwined perspectives. This study aims to facilitate the integration of the conversations and the distinct literatures to produce a clear understanding and conceptualization of the existent knowledge on the topic, with the aim to foster an integration of those different lines of inquiry on the topic that can advance scholarly research and improve policymaking.

Design/methodology/approach

Mixing a robust and longitudinal bibliometric analysis (1992-2018) and a qualitative critical review, the study disentangles sub-conversations on the topic in each literature.

Findings

The study encounters commonalities that foster cross-fertilization and blind spots that prevent integration of findings from each literature.

Research limitations/implications

Both literatures need to cross-fertilize and integrate each other’s knowledge.

Originality/value

To the best of the authors’ knowledge, this study is the first to integrate literatures using bibliometrics, mapping the existing knowledge on two key areas of competitiveness: clusters and multinationals.

Abstract

This study explores the implementation of sustainable finance in an Indonesian state-owned bank (“ABC Bank” or “ABC”). A case study approach is employed to deeply analyze the implementation using data collected through interviews and through a review of company documents. The frameworks from Soppe (2004) and Indonesia Regulation POJK 51 were used to examine the sustainable finance implementation. The findings show that ABC Bank exercises a sustainability commitment in implementing sustainable finance long before the government regulation is imposed on several banks as early adopters in Indonesia. The regulation requires selected banks to apply the eight principles of sustainable finance and prepare a sustainable financial action plan and sustainability report. ABC’s commitment is mainly driven by its status as a government-owned bank, thus facilitating the awareness of achieving public welfare while maintaining profitability. Social implication of this study is that developing countries often face more severe consequences of climate change than developed countries. Hence, the sustainable finance implementation can have a significant social impact to reduce the negative effect. This study contributes to the literature by exploring the initial adoption of sustainable finance by a state-owned bank attempting to balance the interests of the public and management. It also provides insights into other financial institutions adopting sustainable finance as mandated by the local obligation POJK 51.

Abstract

Purpose

The purpose of this study is to identify factors that approach and that separate the Brazilian bureaucracy from the model advocated by Max Weber. Efforts were concentrated on the discussion of aspects of historical and social foundations of society and the Brazilian state that influence its bureaucracy and in the reforms undertaken in the state apparatus. The authors selected some of its iconic moments, within the framework of patrimonialism, seeking to identify evidence of its influence in Brazilian public administration.

Design/methodology/approach

This study is qualitative and has interpretative background with descriptive purposes. The whole process of research was based on the literature. The interpretation of data relied on content analysis based on Bardin.

Findings

The study reveals that the prevailing bureaucratic model in Brazil, although it contains some characteristics of rational-legal model, is not yet produced the expected disenchantment, at least in public administration. In addition, it was noted that the patrimonialism bases, in which society and the Brazilian State still rely, seems to prevent the bureaucracy that was advocated by Max Weber from installing fully.

Originality/value

Studies dealing with bureaucracy in the context of public administration are still welcome and necessary in Brazil. This is because this country still does not admit the bureaucracy to function according to the model advocated by Max Weber.

Abstract

Purpose

The present study is aimed to develop a firm export performance measurement model. Increased levels of globalization are forcing firms, especially SMEs (i.e. small and medium-sized enterprises) and entrepreneurial firms, to enter new markets and increase their exports. Consequently, export performance measurement has become a vital tool for achieving competitive advantages, and this type of measurement is considered an important topic of research in the field of international marketing. However, the literature lacks a comprehensive framework for measuring export performance, even though many criteria for gauging this performance's parameters have been discovered and applied.

Design/methodology/approach

A literature review was conducted, and the most important criteria for export performance measurement was identified using weights obtained by stepwise weight assessment ratio analysis method. Then, the export performance of five firms was evaluated using the additive ratio assessment method with interval-valued triangular fuzzy numbers.

Findings

The 15 most significant criteria were identified and categorized into three dimensions: economic, strategic, and other. The strategic dimension was identified as the most important, while the criteria “strategic goals achievement” and “return on investment” were found to be the most relevant.

Practical implications

A comprehensive framework including a definitive set of the most prominent, useful evaluation criteria was established which enables both scholars and practitioners to assess export performance.

Originality/value

The current study attempts to fill the gaps in the literature by presenting a comprehensive framework for export performance measurement.

Abstract

Purpose

Wine bottles compete for consumers’ attention in the shelf during the decisive moment of choice. This study aims to explore the role that visual attention to wine labels has on the purchase decision and the mediating role of quality perceptions and desire on such purchase behaviours. Wine awards and consumption situation are used as moderators..

Design/methodology/approach

The study was conducted in Portugal and 36 individuals participated in a 2 × 2 within subjects design (awarded/not awarded × self-consumption/social-consumption). For each scenario, individuals’ attention, perceptions of quality, desire and purchase intentions were recorded.

Findings

Data from eye-tracking shows that, during the purchase process, the amount of attention given to a bottle is determinant of individuals’ purchase intentions, a relationship that increases in significance for bottles with awards and for when consumers are buying wine for a consumption situation involving a social environment. In addition, both quality perceptions and desire are confirmed to positively influence wines’ purchase intentions.

Originality/value

By using an eye monitoring method, this paper brings new insights into the wine industry by highlighting the impact that wines’ labels and different consumption situations have on individuals’ attention and purchase intention. Wine producers and retailers may benefit from the insights provided by the current study to refine their communication strategies by either highlighting product characteristics and pictorial elements, as it is the case of the awards, or communicating about their products for different consumption situations.

Abstract

Purpose

This paper aims to explore how brand relationship quality (BRQ) influences consumers’ perceived sense of justice in the context of service recovery situations.

Design/methodology/approach

The authors conducted a survey of 368 Brazilian consumers who experienced real-life automotive service recovery situations. The authors tested their model and underlying hypotheses using structural equation modeling.

Findings

Stronger BRQ led to higher levels of perceived justice (distributive, procedural and interactional), which in turn led to higher customer satisfaction of complaint handling. Ultimately, higher customer satisfaction led to lower complaining, lower retaliation and higher purchase intention. The authors' alternative model tested the effects of BRQ sub-dimensions on justice perception. Interestingly, trust produced a “love-is-blind” effect, while intimacy revealed a “love-becomes-hate” effect.

Originality/value

This study assessed BRQ and its sub-dimensions (self-connection, satisfaction, commitment, trust and intimacy) on sense of justice (distributive, procedural and interactional) within service recovery. Also, this study demonstrated the opposing effects of the brand relationship sub-dimensions trust and intimacy on perceptions of justice.
